King V: Shaping Governance for Trusts, Non-Profits, and Social Investment Funds

The Institute of Directors in South Africa (IODSA) has initiated a public participation process for the draft King V Code on Corporate Governance, inviting stakeholders from all sectors to contribute their insights and perspectives.

This engagement process offers a rare opportunity for trust managers, non-profit advisors, and social investment fund engineers to influence a governance framework that will shape the future of ethical leadership, strategic decision-making, and impact-driven governance in South Africa.

As an organization deeply involved in trust management, advisory services for non-profits, and the design and management of social investment funds, GrowZA is particularly invested in several critical aspects of the draft code.

The integration of Environmental, Social, and Governance (ESG) principles, the application of the Ubuntu philosophy to stakeholder engagement, and the proportional approach to governance implementation are of paramount importance to our work. These themes align directly with our mission to create robust governance structures, facilitate ethical investment strategies, and deliver sustainable social impact through well-governed social investment vehicles. Additionally, the emphasis on digital governance and cybersecurity is a vital consideration as we support our clients in navigating digital transformation and ensuring data integrity.

While these are key areas of focus, King V introduces a range of broader governance themes that demand attention, including risk management, board diversity, transparency, and compliance. The evolving governance landscape requires a shift from static compliance models to dynamic governance practices that enhance strategic agility and organizational resilience.

ESG Principles: Elevating Governance Beyond Compliance

King V’s inclusion of ESG considerations as a core governance outcome represents a transformative shift. For trusts and social investment funds, this elevates the expectation that governance practices not only safeguard financial assets but also ensure ethical and sustainable impact. This approach aligns governance with global standards where environmental stewardship, social responsibility, and ethical governance are not just aspirations but measurable outcomes.

In our work as trust managers and fund engineers, ESG integration means creating governance frameworks that support responsible investment strategies, ensuring that social investment funds generate positive social and environmental returns while maintaining financial integrity. For non-profit clients, embedding ESG into governance practices enhances their ability to demonstrate impact, meet donor expectations, and secure sustainable funding streams.

Ubuntu and Stakeholder Governance: Building Trust and Legitimacy

The principle of Ubuntu, as articulated in King V, introduces a stakeholder-centric approach to governance. This perspective is crucial for non-profits and social investment funds where community engagement, donor relationships, and beneficiary trust are foundational to success. Governance, in this context, must move beyond internal oversight to encompass external accountability and transparency.

For trusts and funds managed by GrowZA, this involves establishing governance mechanisms that facilitate genuine stakeholder engagement, integrating community insights into investment strategies, and ensuring that governance practices reflect a commitment to ethical leadership and social cohesion. By applying Ubuntu principles, we help organizations build stronger community ties, enhance beneficiary participation, and reinforce trust with all stakeholders.

Proportional Governance: A Tailored Approach for Diverse Organizations

A significant advancement in King V is its proportional approach to governance, which recognizes that governance practices must be adapted to the size, complexity, and impact of an organization. This is particularly relevant for the diverse landscape of the non-profit sector and social investment funds, where governance needs vary widely.

For smaller trusts and emerging non-profits, this means focusing on core governance principles without overwhelming administrative burdens. For large social investment funds, the code expects a mature governance framework with robust risk management, strategic oversight, and performance evaluation. Our role as advisors and governance partners involves helping organizations adopt fit-for-purpose governance models that balance regulatory compliance with operational agility, ensuring governance enhances rather than hinders impact.

Digital Governance and Cybersecurity: A New Standard for Trusts and Funds

King V introduces forward-thinking governance requirements related to digital transformation and cybersecurity, reflecting the increasing digitalization of governance processes and investment management. Trusts and social investment funds, often handling sensitive financial and personal data, must now implement comprehensive digital governance strategies.

Our work with clients involves developing cyber resilience strategies, implementing data governance frameworks, and ensuring compliance with data protection laws such as POPIA (Protection of Personal Information Act). By embedding digital governance into broader governance practices, we support organizations in leveraging digital tools responsibly, mitigating cyber risks, and enhancing digital transparency and accountability.

Broader Governance Themes: Risk Management, Board Diversity, and Compliance

In addition to our focus areas, King V introduces enhanced governance standards in risk management, board diversity, and compliance. These expectations align with the increasing scrutiny from funders and regulatory bodies, who now require clear governance disclosures, robust risk management practices, and evidence of diversity and independence in governance structures.

For trusts and social investment funds, this means adopting risk management frameworks that proactively address financial, operational, and reputational risks. It also involves ensuring that board compositions reflect diversity and independence, enhancing governance effectiveness and stakeholder confidence. As governance advisors, GrowZA provides the tools and frameworks needed to meet these evolving expectations, supporting clients with governance health assessments, strategy development, and impact reporting.
